StoreCopy Store Migration - Terms of Service

These Terms of Service ("Terms") govern your access and use of the StoreCopy Store Migration service ("Service") available at storecopy.com and via third-party marketplaces (e.g., Shopify App Store, Wix App Market). By using the Service, you agree to comply with these Terms and all applicable laws.

1. Definitions

• Service: Refers to StoreCopy Store Migration, a cloud-based platform for ecommerce data migration.
• Website: The StoreCopy website located at storecopy.com.
• Marketplace: Third-party platforms where our Service is distributed, such as the Shopify App Store or Wix App Market.
• You: Refers to the individual or entity using the Service.

2. Acceptance of Terms

• By accessing or using the StoreCopy Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.
• StoreCopy reserves the right to modify these Terms at any time. Continued use of the Service constitutes acceptance of the revised Terms.

3. User Obligations

• You agree not to modify, hack, or misuse the Service or the Website.
• You are responsible for maintaining the security of your account and backing up your data before migration.

4. Service Terms

• StoreCopy provides automated and custom store migration services. You understand that migrations involve data transfer and some data alteration may occur due to third-party API limitations.
• Backup: You are strictly responsible for backing up both source and target stores before using the Service.
• Maintenance Mode: If migrating live data, you are advised to place your store in maintenance mode to avoid data loss.

5. Account Terms

• You must be at least 18 years of age to use the Service.
• By installing our app via a Marketplace (Shopify/Wix), you grant StoreCopy the necessary permissions to access your store's data solely for the purpose of migration.

6. Service Modifications

• StoreCopy reserves the right to modify, suspend, or discontinue any aspect of the Service at any time.

7. Limitation of Liability

• The Service is provided "as is." StoreCopy makes no warranties, express or implied.
• In no event shall StoreCopy be liable for indirect, incidental, or consequential damages, including loss of profits or data.

8. Payment, Refunds, and Right of Withdrawal

The billing terms depend on where you purchased the Service:

8.1 Direct Purchases (via storecopy.com)

• Merchant of Record: For orders placed directly on our Website, our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for these orders and handles all customer service inquiries and returns related to payments.
• EU Right of Withdrawal (Waiver): By purchasing our Service via our Website, you expressly consent to the immediate performance of the contract and acknowledge that you lose your right of withdrawal once access has begun (Article 16(m) EU Directive 2011/83/EU).

8.2 Marketplace Purchases (via Shopify, Wix, etc.)

• Billing Entity: For orders placed through the Shopify App Store, Wix App Market, or similar platforms, billing is handled directly by that platform. You are subject to the billing terms and conditions of the respective Marketplace.
• Refunds: Refund requests for Marketplace purchases must be initiated through the respective platform's dashboard or support system. While we uphold our voluntary "5-day technical guarantee" (see below), the final processing of refunds is subject to the Marketplace's policies.

8.3 Voluntary "Fix or Refund" Guarantee (Applicable to All)

• Regardless of where you purchased, StoreCopy offers a voluntary guarantee: If you are unable to use the Service due to technical issues that we cannot resolve within 5 business days of your report, we will authorize a full refund.
• Partial Refunds: Refund requests for reasons other than non-delivery (e.g., partial dissatisfaction) must be submitted within 30 days. Only partial refunds (up to 30%) are possible after the migration service is fully rendered.

9. Data Protection

• StoreCopy is committed to safeguarding your data. For Marketplace installations, we process data in accordance with the data protection agreement required by that Marketplace (e.g., Shopify Partner Agreement).
• After migration, it is your responsibility to revoke access permissions or uninstall the application.

10. Termination

• You or StoreCopy may terminate these Terms at any time.
• Upon termination, you must discontinue use of the Service.

11. Governing Law

These Terms shall be governed by the laws of Spain. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Spain.
